All materials on this site are either owned by Us, our partners, our suppliers, or our clients. Kinjari Inc is registered in Delaware. Our registered address is 1111B S Governors Ave STE 48459, Dover, DE, 19904 This site and our applications provide music distribution and related services. Most Kinjari services are intended for music creators, artists and labels. ARK is a separate business-to-business service available only to businesses and is covered in the ARK section below. Any use outside the purposes we approve is prohibited. All content on our website, or within our applications, is the sole property of Kinjari Inc, or our partners or other contributors where stated. Any violation of Copyright by Site users is strictly prohibited. Where we see fit we reserve the right to enforce our rights by law. Fraudulent usage of our services or usage we consider to be abusive of our services will not be tolerated and may result in immediate account suspension or termination. Usage of this website is 'as-is' and comes without warranty. You are responsible for protecting your Username, Password and any other account information that is under your control. Our website may link to third party websites on the internet. We are not, in any way, responsible for the content of those websites. This agreement and usage of our website is governed by the law of the United States of America and is subject to the courts of the United States of America. We do not permit any Adult content on our services. Cancellation ------------ This section applies to Kinjari artist and label subscriptions. It does not apply to ARK. The terms for ending an ARK subscription are set out in the ARK section below. You may cancel the renewal of your paid services at any time through your account. You will keep the benefits of your paid subscription until the renewal date, when your account will move to a free management-only account. A management-only account lets you receive and withdraw royalties, but you cannot upload additional songs without a paid subscription. Refund Policy ------------- All payments (except any payments taken in error) are non-refundable, and you waive your right to any cooling off period as we provide access to the service immediately. Chargeback Policy ----------------- If we receive any chargebacks relating to your account the following actions will take place: - Your account will immediately be restricted - All tracks you have uploaded will be taken down from all services - You immediately forefeit any royalties collected, and any future royalties to be paid by DSPs - We will issue an invoice to you covering all fees charged to us relating to this chargeback which will be immediately due - If necessary we will enforce debt collection of the outstanding amount Kinjari Files (Beta) -------------------- Kinjari Files is a file storage, management, and sharing service provided as part of your Kinjari membership. This service is currently in beta status and is provided on an "as-is" basis without warranties of any kind, either express or implied. Subject to the terms herein, you are granted a limited, non-exclusive, non-transferable license to use Kinjari Files for the storage, management, and sharing of digital files. Your membership includes twenty (20) gigabytes of storage capacity. Additional storage capacity may be purchased through your account dashboard. Individual file size restrictions do not apply; however, upload sessions are limited to a maximum duration of two (2) hours. You may generate shareable links for files stored within your account. Such links may be accessed by any party in possession of the link and may be configured to expire within a period not exceeding one (1) year from the date of creation. No restrictions apply to the number of downloads from shared links. You retain the right to delete files or deactivate shared links at your discretion. You expressly agree and warrant that you will not upload, store, distribute, or share through Kinjari Files any content that: (a) constitutes adult or sexually explicit material; (b) violates any applicable law, statute, ordinance, or regulation of England and Wales or the United States of America; or (c) infringes upon the intellectual property rights, including but not limited to copyrights, of any third party. We reserve the right to remove any content that violates these terms, notwithstanding our policy of not actively monitoring user-uploaded content. Users may report potentially infringing content through our designated reporting mechanisms. In the event of account termination due to breach of these terms, all shared links associated with your account shall immediately become inactive, all files stored within your account shall be permanently deleted without possibility of recovery, and all music content distributed through our platform shall be removed from all distribution channels. We collect and process metadata associated with files stored in your account, including but not limited to file names, sizes, upload timestamps, and usage statistics such as download counts and play counts for audio and video content. We do not collect Internet Protocol addresses or other identifying information from parties accessing shared links. Files are stored without encryption at rest. Kinjari Files is provided without service level agreements or uptime guarantees. No bandwidth limitations are imposed on the service. As a beta service, temporary service interruptions may occur during development and improvement activities. We do not warrant against accidental data loss but will not intentionally cause such loss. You acknowledge and agree that you are solely responsible for maintaining backup copies of files stored in Kinjari Files. Upon expiration or termination of your subscription, all files shall become inaccessible. Files may not be transferred between accounts. We disclaim all liability for any loss of data, files, or content stored within the service. The beta nature of this service means that we do not guarantee uninterrupted access or availability. We reserve the right to modify, suspend, or discontinue the service at any time without notice. While we endeavor to prevent accidental data loss, we make no representations regarding the permanence or reliability of data storage. We reserve the right to change these Terms and Conditions at any time and we suggest you regularly review these. We will attempt to make changes at least thirty days before the terms take effect however there may be occasions where we are unable to for legal or other reasons. --- ARK --- ARK is a subscription catalogue distribution service for businesses, including labels, publishers, distributors and other commercial organisations. It is not offered to individual consumers. In this section, "you" and "Customer" mean the business entering into this agreement. By registering for or using ARK, you confirm that you are acting for purposes connected with your trade, business or profession. ARK is provided under a business-to-business agreement, and consumer protection legislation does not apply. ### Ending Your Subscription If your ARK subscription is cancelled, ends or is not renewed for any reason, including a failed or declined payment, we will remove your entire catalogue from all stores and digital service providers within fourteen (14) days of the subscription end date. You must keep your own copies of all Content and metadata and arrange any alternative distribution before that period ends. ### Content and Compliance You are solely responsible for: - all Content you submit for distribution through ARK; - making sure you own, or hold all necessary rights, licences and clearances for, that Content; - making sure your Content does not infringe the copyright or other intellectual property rights of any third party; and - following the terms, policies and content guidelines of each store or digital service provider that receives your Content. We accept no liability for Content you submit. You agree to indemnify Kinjari against any claim, loss, cost or expense arising from that Content or your failure to comply with this section. ### Royalties ARK calculates royalties each month.
